These Terms of Use ("Terms") are entered into between you and Techstride Technologies FZCO, a company licensed under the International Free Zone Authority (IFZA), Dubai, United Arab Emirates. By accessing our website or engaging TechStride for services, you agree to be bound by these Terms.
Acceptance of terms
If you do not agree with any part of these Terms, you must discontinue use of the website and refrain from engaging our services. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.
Use of the website
The website is provided for general information about our services. Content may be updated, corrected, or removed without notice. You agree not to misuse the site, attempt to gain unauthorised access, introduce malicious code, scrape at volume, or interfere with its operation. Such activity may constitute an offence under UAE Federal Decree-Law No. 34 of 2021 on Combating Rumours and Cybercrimes.
Intellectual property
All trademarks, logos, text, graphics, code, methodologies, and other materials on this website are the property of Techstride Technologies FZCO or its licensors and are protected under UAE Federal Decree-Law No. 38 of 2021 on Copyrights and Neighbouring Rights and applicable trademark laws. You may not copy, reproduce, distribute, publicly display, or create derivative works without our prior written consent.
Service engagements
Where TechStride provides services to a client, those services are governed by a separate signed proposal, statement of work ("SOW"), or master services agreement ("MSA"). In the event of conflict between these Terms and a signed SOW or MSA, the signed document prevails for that engagement.
Quotations & proposals
Quotations issued by TechStride are valid for thirty (30) days unless otherwise stated and are subject to final scope confirmation. An engagement commences upon written acceptance of a proposal and receipt of any applicable advance payment.
Payment terms
- Invoices are payable in AED or USD as specified in the SOW.
- Unless otherwise agreed, an advance payment (typically 50%) is required prior to project mobilisation.
- Invoices are due within fifteen (15) calendar days of issue. Late payments may incur a service charge of up to 1.5% per month, to the extent permitted by UAE law.
- All fees are exclusive of UAE Value Added Tax (VAT) at the prevailing rate, which will be added where applicable.
- Third-party licence, subscription, and hardware costs are billed at cost and are non-refundable once procured.
Refunds & cancellation
No refunds will be issued once a project has commenced.
Project commencement is defined as the earlier of: (a) TechStride allocating resources to the engagement, (b) issuance of the kick-off communication, or (c) any deliverable, design, code, document, or environment being prepared on your behalf. Advance payments are non-refundable upon commencement.
If you choose to terminate an engagement after commencement, you remain liable for: (i) all work performed up to the termination date, (ii) committed third-party costs, and (iii) any non-cancellable subscriptions or licences procured for the project. Pre-commencement deposits will be refunded only where TechStride has not yet allocated resources or incurred costs.
Client responsibilities
You agree to provide accurate information, timely approvals, access to relevant systems and stakeholders, and any third-party licences or credentials required for delivery. Delays caused by missing inputs or approvals may shift timelines and may incur additional charges at prevailing rates.
Confidentiality
Both parties agree to keep confidential information disclosed during the engagement secure and to use it solely for the purpose of the engagement. This obligation survives termination of the engagement.
Warranties & disclaimers
TechStride will perform services with reasonable skill and care consistent with industry standards. Except as expressly stated in a signed SOW, the website and all materials are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by UAE law.
Limitation of liability
To the maximum extent permitted by UAE law, TechStride's total aggregate liability arising out of or related to the website or an engagement shall not exceed the fees actually paid by you to TechStride for the specific engagement giving rise to the claim during the three (3) months preceding the event. TechStride shall not be liable for indirect, incidental, consequential, punitive, or loss-of-profit damages.
Force majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including acts of government, natural disasters, war, civil unrest, cyber-attacks on third-party infrastructure, internet or utility outages, or pandemics.
Governing law & jurisdiction
These Terms and any engagement with TechStride are governed by the federal laws of the United Arab Emirates and the regulations of the International Free Zone Authority (IFZA), Dubai. Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates.
